Client Roadmap
Pre-registration Stage
  1. Choose the name of the organization. Please note that the name must not coincide with the name of another legal entity already registered in Armenia, must not coincide with or fully contain the names of state administrative bodies of the Republic of Armenia, must not coincide with the names of international organizations, and must not contain insults, offensive names, or names that contradict national spiritual values, as well as principles of humanity and morality. Additionally, if the name contains the word "Armenia" or its derivatives, an additional state fee of 600,000 AMD (one-time) will apply.
  2. Choose the location (address) of the company. If you do not have office premises at the moment, we can provide a legal address.
  3. Determine the amount of the company's charter capital and the share sizes of the company's participants.
  4. Provide information about the company's participants (founders): citizenship, first name, last name, passport details, address. In the case of a legal entity, provide the country of establishment, name, state registration details, and address.
  5. Provide information about the head of the executive body (director, general director, or president): citizenship, first name, last name, passport details, address, phone number, email address, social card number if available (if not, we can assist in obtaining it).
  6. Decide whether the organization will need a seal or not (in the Republic of Armenia, it is possible to operate without a seal).
  7. Determine the tax system.
  8. Determine if the activity requires certification and/or licensing.
  9. In the case where the activity involves trade between Russia, Armenia, and Europe, consult with a customs broker to ensure there are no restrictions on exports.
  10. Choose the type of activity.
Registration Stage
Along with your personal manager you:

  1. Visit a notary to obtain a notarized translation of the passport.
  2. Obtain a social security number.
  3. Visit the State Register Agency of Legal Entities of Armenia. The legal entity will be registered within 20 minutes after submitting the documents. The seal (if needed) will be ready within 1 working day after the company registration.
  4. Registration with the tax authority based on a power of attorney in the name of the accountant.
  5. Signing a contract for accounting services.
Opening a bank account
After registration and obtaining the certificate of state registration, the articles of association, and preparation of the document package by us, we jointly make a trip to the bank (the presence of the director is mandatory when opening the bank account).
Ongoing legal entity maintenance
  1. If cash is used in transactions: registration of a cash register.
  2. If there are hired employees: providing information about employees for registration. Required information: passport details, social security number, bank account number, position, salary, duties, address of residence in Armenia. In the case of LLC, CJSC, JSC, employment of the director is mandatory.
  3. Providing the manager with a bank statement by the 5th of each month (if the second bank access is not provided).
  4. If using bank acquiring: registration of electronic receipts with the tax authority.
Taxes and Accounting
  1. Salary payment by the 15th of each month (in a lump sum).
  2. Payment of personal income tax (tax on employees) is made simultaneously with the salary payment.
  3. Payment of the lease agreement tax is made simultaneously with the payment on the same day (tax rate is 10%).
  4. Payment of corporate taxes is made by the 20th of each month.
