Personal presence of the founders is not required for company registration in Armenia. The company registration process can be completed without the physical presence of the founders. The documents for registration can be submitted by an authorized representative or directly.

1. Corporate Income Tax (CIT): Generally, companies are subject to an 18% CIT rate on their taxable income, which is calculated as the difference between gross income and deductible expenses. This applies to both Armenian-resident entities and non-resident entities doing business in Armenia through a permanent establishment.
2. Turnover Tax: This is an alternative to CIT and VAT for small and medium enterprises (SMEs). The tax rate varies according to the type of income, typically ranging from 1.5% to 5%. It's available for businesses with annual sales under a certain threshold (approximately $280,000).
3. Micro-Businesses: Entities with annual sales below approximately $62,000 are exempt from both CIT and VAT. However, certain business types, especially those in Yerevan or in various service sectors, may not qualify for these exemptions.
4. Value-Added Tax (VAT): The standard VAT rate is 20%. For exports, VAT is reduced to 0%. Businesses under the general tax regime file VAT returns monthly.
5. Special Taxation for IT Companies: Newly registered IT businesses, including startups and private entrepreneurs, can apply for an IT Start-Up certificate, offering reduced payroll taxes until December 31, 2024. This includes a reduction in personal income tax withheld by the employer from 20% to 10%.
6. Payroll Taxes: Employers must withhold personal income tax and social security contributions from employee salaries. The personal income tax rate is a flat 20%, while social security contributions vary based on income levels.
7. Other Taxes: Depending on their activities, companies might be subject to excise tax, environmental tax, road tax, and property taxes.

To register a foreign company in Armenia, the following documents are required:

1. Application for Registration: This is the main document submitted for company registration.

2. Decision of the Founder or Minutes of the Founders' Meeting: If the company is founded by more than one person, the minutes of the founders' meeting are submitted.

3. Articles of Association: The articles must include the address of the company.

4. Information about the Executive of the Company: Passport details and social number (if available) of the company's executive are required.

5. Statement on the Ultimate Beneficial Owner of the Company: This is important for compliance with Armenian legislation.

If among the founders of the company there are foreign legal entities, it is necessary to provide an excerpt from the commercial register of that country or another equivalent document. For foreign citizens, a translated and notarized copy of the passport is required.

A distinctive feature of registration in Armenia is that there is no requirement for a minimum charter capital, state duty for the initial registration of commercial entities, or having a residence permit. Also, the physical presence of the founders in Armenia is not mandatory.
